Terms of Service

ACCEPTANCE

By creating an account, you affirmatively check a box agreeing to these Terms of Service and the Questyz Privacy Policy. The version of these Terms in effect at the time of your acceptance is identified by the "Effective Date" and "Last Updated" date shown at the top of this document, and Questyz maintains a record of prior versions accessible at https://questyz.com/legal. If you do not agree to these Terms and the Privacy Policy, do not create an account and do not use the platform.

ELIGIBILITY

You must be at least 18 years old and a legal resident of the United States. Identity verification is required for certain higher-value or higher-tier transactions as described in Section 4 (Identity Verification). You are not required to complete identity verification before browsing or creating an account, but you must complete it before posting or accepting any quest that falls within the categories described in Section 4.

THE PLATFORM

Questyz is a marketplace connecting people who need quests completed (“Patrons”) with people who complete them (“Heroes”). Questyz is not a party to any agreement between Patrons and Heroes. Questyz does not employ Heroes.

IDENTITY VERIFICATION

Identity verification through our third-party identity verification provider (Stripe Identity) is required for certain higher-value transactions. Specifically: patrons posting quests with money rewards over $200 must verify their identity, and patrons posting C-tier or higher reputation-gated quests must verify regardless of reward amount. Heroes accepting C-tier or higher reputation-gated quests must also verify. Verification is not required for F or E tier quests under $200. Questyz receives only a verification signal — your identity documents are processed exclusively by our verification provider and are never stored on Questyz servers.

PAYMENTS

Questyz is a marketplace facilitator. Questyz is NOT a fiduciary, custodian, escrow agent, or money transmitter for user funds. Questyz does not hold, custody, or control patron or hero funds at any point in the payment flow.

How payments work: When a patron posts a paid quest, the patron authorizes a payment on their card through Stripe (our card payment processor) using a “manual capture” PaymentIntent. This authorization is held by Stripe — not by Questyz — pending the patron’s approval of the hero’s completed work. The mechanism is identical to a hotel room hold or a car rental security hold: the card is authorized but not charged.

When the patron approves the hero’s work, Questyz instructs Stripe to capture the previously authorized amount. Captured funds settle into Questyz’s Stripe merchant account. Questyz then disburses the hero’s portion to the hero’s PayPal account via PayPal (Questyz's payout processor). At launch, hero payouts are processed manually by Questyz staff and are typically issued within twenty-four (24) business hours of capture. Payout timing may vary based on operational review, PayPal processing windows, and Questyz's anti-fraud procedures. Questyz does not guarantee any specific payout time at launch.

Captured platform fees (described below) remain in Questyz’s merchant account as platform revenue.

If the patron does not approve the work within the dispute window, or the quest is cancelled, the authorization is released through Stripe’s standard authorization-cancellation flow. The patron is not charged.

Patron checkout shows three transparent line items: (a) Quest reward, which goes to the hero;

(b) Platform fee, which is Questyz’s marketplace commission; and (c) Card and payout fees, which is the actual cost charged by Stripe and PayPal — Questyz adds nothing on top of payment-processor cost.

Platform fees: Heroes always keep 100% of the reward — Questyz does not deduct a fee from the hero side. Patrons pay a platform fee based on their patron rank: 12% at L1 Wanderer dropping to 7% at L8 The Sovereign, with each rank-up reducing the fee. Charter Members (founding cohort signed up before our Charter cutoff date) pay 0% Questyz platform fee for their first 60 days from signup; thereafter, Charter Members receive a floor at L4 Merchant (9% Questyz platform fee) for the life of the account under the current fee structure, subject to modification only as described in this paragraph, which cannot be exceeded by activity-based decay, and may earn lower fees by reaching higher ranks. Questyz may modify or sunset the Charter Member floor only upon: (a) a change of control of Questyz or an acquisition of substantially all of its assets, (b) a platform-wide fee model restructuring affecting all patron tiers, or (c) dissolution of the platform. Questyz will provide Charter Members with no less than ninety (90) days written notice by email before any such modification takes effect. Charter Members at every stage still cover the actual card and payout fees as a separate line item. Physical item quests have 0% platform fee. Reward amounts above $1,000 may require additional patron qualification. Reward amounts above $5,000 are not currently offered.

Fee-tier maintenance: Patron fee tiers are earned through qualifying activity and maintained through continued activity. If a patron has no qualifying activity for 30 consecutive days, their effective fee tier will drop by one rank. Additional 30-day periods of inactivity result in further one-rank drops, cumulative. “Qualifying activity” means posting a quest that increments the patron’s qualified-post count under our anti-abuse rules. Floor protection: once a patron has ever reached L7 Baron (B-tier) or higher, that patron’s effective tier cannot fall below L5 Guild Master (D-tier) under activity decay, regardless of inactivity length. Fee rates resume decreasing as the patron returns to qualifying activity and re-earns higher ranks.

Hero rank progression continues to affect cosmetic titles, badges, gear drops, and visibility but does not affect payouts: heroes always keep 100% of the reward at every tier.

Platform fees are non-refundable once a quest has been accepted by a hero. Card and payout fees are pass-through processor charges and are non-refundable.

Tips (voluntary gratuities): After a hero’s completed work has been approved, the patron may optionally tip the hero in addition to the quest reward. Tips are processed as a separate Stripe charge from the original quest payment — the patron’s card statement will show two distinct entries (the original quest charge and the tip). Tips flow 100% to the hero — Questyz does not deduct a platform fee, card fee, or payout fee from a tip; the hero receives the full tipped amount via the same payout pipeline as the main reward. Tips are voluntary in all cases.

Heroes are not entitled to tips. Tips do not change the original quest reward, do not modify the patron’s fee tier, and do not retroactively trigger identity-verification requirements because tips are voluntary gratuities processed under a separate consent flow after quest completion, not part of the contracted quest reward, and the $200 identity-verification threshold applies to the contracted quest reward amount at the time of posting. Tips are non-refundable once charged.

If a tip charge fails to process after submission, Questyz will notify the patron but has no obligation to retry the charge, and the hero is not entitled to any tip that fails to process. Tip chargebacks initiated by a patron are handled through Questyz's standard dispute process described in Section 10, and Questyz reserves the right, but has no obligation, to make a hero whole from platform reserves in cases of documented patron abuse of the chargeback process.

Tips received by heroes are included in total annual receipts for tax reporting purposes. Heroes are solely responsible for reporting all income received through the platform, including tips. PayPal, as the payout processor, handles applicable IRS Form 1099-K issuance on amounts above the federal threshold; Questyz does not issue separate tax forms for tips.

BOOST PASSES

Boost Passes are promotional perks that increase the visibility of a posted quest (patron side) or hero listing (hero side) on the marketplace. Three tiers exist: Basic (24-hour promotion), Featured (72-hour promotion), and Elite (7-day promotion). At launch, Boost Passes are earned only — the direct-purchase flow is not active at launch and will be enabled at a later date with at least 30 days advance notice; planned purchase pricing when the flow activates is currently estimated at Basic $1.99 USD, Featured $2.99 USD, and Elite $9.99 USD. These prices are illustrative only and are not a binding offer. The prices in effect at activation will be disclosed to users with no less than thirty (30) days advance notice by email or in-product notification before the purchase flow goes live, and only those activation-time prices are binding. At-launch earn paths: Charter Members receive a one-time bundle of six (6) Boost Passes at signup (one Basic/Featured/Elite for each side, lifetime, non-expiring until spent); Charter Heroes additionally receive one (1) Elite hero-side Boost Pass per calendar quarter, lifetime; heroes may earn Boost Passes through gameplay milestones (every tenth completed quest grants a Basic, each rank-up grants a Featured, defeating a world boss grants an Elite to all participating heroes); and Sovereign-tier heroes (highest hero rank) receive one

(1) Basic hero-side Boost Pass per month while at Sovereign tier. Granted passes may be spent on any eligible quest or listing you own. Boost Passes are digital promotional perks, are non-transferable, have no cash value, and cannot be redeemed for anything other than the promotional placement described. Boost Passes (whether earned or, when available, purchased) are non-refundable once spent. Unspent Boost Passes have no cash value, are not transferable, and are forfeited without compensation upon termination, suspension, or deletion of the account, whether initiated by the user or by Questyz under Section 14. Unspent Boost Passes have no cash value, cannot be exchanged for monetary refunds, and are forfeited without compensation upon account termination, whether initiated by the user or by Questyz for a policy violation. Boost Passes are digital promotional perks, not stored value, prepaid access devices, or monetary credit. Questyz reserves the right to adjust pricing, promotional grants, drop rates, and availability at any time. A boost does not guarantee any specific increase in visibility, engagement, or hero acceptance — it only elevates display priority for the specified duration. If Questyz removes or suspends a boosted quest or listing due to a policy violation or platform error, we may at our discretion issue a replacement boost; monetary refunds are not provided.

HERO OBLIGATIONS

Heroes agree to: complete accepted quests in good faith; be truthful in completion reports; not misrepresent their capabilities; arrive prepared and on time for in-person quests; follow all safety guidelines; treat Patrons with respect.

Independent contractor status. Heroes perform quests as independent contractors, not as employees, agents, partners, or joint venturers of Questyz. Heroes are solely responsible for their own tools, equipment, transportation, safety precautions, insurance, and tax obligations arising from quest completion, including self-employment tax and any income tax owed on rewards or tips. Heroes are not entitled to employee benefits from Questyz, including health insurance, retirement contributions, workers' compensation, unemployment insurance, or paid time off. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between Heroes and Questyz.

Heroes perform quests as independent contractors and not as employees, agents, joint venturers, or contractors of Questyz. Heroes are solely responsible for their own tools, equipment, transportation, safety practices, insurance, and federal, state, and local tax obligations arising from quest completion. Heroes are not entitled to any employee benefits from Questyz, including but not limited to wages, overtime, workers' compensation, unemployment insurance, health benefits, retirement contributions, or paid leave. Heroes control the manner and means of completing accepted quests, set their own work hours, and are free to accept or decline any quest in their sole discretion.

PATRON OBLIGATIONS

Patrons agree to: accurately describe all quests including any physical requirements or hazards; respond to completion submissions within 48 hours; not create quests that are illegal, dangerous, or deceptive; release funds promptly upon genuine completion; treat Heroes with respect.

PROHIBITED CONTENT

You may not post quests that: are illegal or require illegal activity; involve adult content; require access to a minor’s private space without a guardian present; involve weapons, controlled substances, or hazardous materials; constitute employment (use a proper employer-employee relationship instead); are deceptive or fraudulent.

User-generated content in social and community features: Questyz includes social and community features such as Guilds (with optional guild names, guild tags, mottos, banner colors, and trophy showcases featuring user-earned items), reviews, hero listings, and quest descriptions. All such content is user-generated, and the user posting it is solely responsible for it. You agree that any content you post or designate must comply with the Prohibited Content rules above and may be moderated, removed, or modified at Questyz’s discretion. Questyz reserves the right, but does not assume the obligation, to remove or restrict guild names, guild tags, mottos, banners, accent colors, trophy designations, hero profile content, reviews, hero listings, or quest descriptions that Questyz, in good faith, determines to be offensive, infringing, deceptive, fraudulent, or otherwise inconsistent with platform standards.

DISPUTES

Patron approval and dispute window. After a Hero submits completed work, the Patron has forty-eight (48) hours to either approve the submission or file a dispute through the platform. If the Patron does not respond within the 48-hour window, the submission auto-approves and the reward is released to the Hero.

Hero-initiated disputes. A Hero may file a dispute within forty-eight (48) hours of a Patron's rejection of completed work, or within forty-eight (48) hours after expiration of the Patron's response window if the auto-approval has not been processed. The same dispute procedure described in this Section governs both Patron-initiated and Hero-initiated disputes.

Dispute submission. Every dispute must include a specific written explanation describing the disputed conduct or completion failure. Questyz may require supporting documentation, including photographs, completion reports, written communications between the parties, and any other evidence reasonably necessary to evaluate the dispute.

Evidence Questyz will consider. Questyz will review the following categories of evidence in evaluating a dispute: (a) the Hero's completion report and supporting documentation; (b) the Patron's written explanation and supporting documentation; (c) photo and video documentation submitted by either party; (d) platform activity logs, including timestamps, messages exchanged within the platform, and quest status history; and (e) prior dispute history of either party where relevant to credibility.

Standard of decision. Questyz will resolve disputes by determining, based on the evidence submitted, whether the Hero completed the quest in good faith substantial conformance with the posted quest requirements (which favors the Hero) or whether the Patron has raised a good-faith dispute supported by specific, articulable facts (which favors the Patron). Questyz applies this standard in its commercially reasonable judgment and does not act as an arbiter of legal claims.

Timeline for decision. Questyz will issue a written decision within five (5) business days after the dispute is fully submitted with all required documentation. Questyz may extend this period by up to five (5) additional business days if additional information is required from either party.

Stripe authorization expiry. Stripe payment authorizations generally expire seven (7) days after creation. If a dispute remains unresolved past the seven-day Stripe authorization window, Questyz will, in its discretion: (a) request that the Patron re-authorize the original quest amount to preserve the reward pending the decision, or (b) cancel the Stripe authorization and resolve the dispute against the non-cooperating party if either party fails to re-authorize or provide requested documentation within forty-eight (48) hours of Questyz's request. Failure of a Patron to re-authorize after Questyz's request, in the absence of a good-faith reason, will be treated as evidence supporting the Hero's position.

Final and binding decision. Questyz's written decision is final and binding on the parties for purposes of disbursing or releasing the funds at issue, and constitutes the dispute-resolution procedure referenced in Section 16. Questyz's decision does not waive any party's right to pursue claims against the other party outside the platform, subject to Section 16 (Governing Law and Arbitration).

Appeal. Either party may submit a written appeal to Questyz within seven (7) days of the written decision by emailing support@questyz.com and identifying specific facts or evidence not considered in the initial decision. Questyz will review the appeal within five (5) business days and may, in its commercially reasonable judgment, affirm, reverse, or modify the original decision.

LIABILITY LIMITATION

Questyz is a platform, not an employer or general contractor. The scope of Questyz's responsibility, and the limits on Questyz's liability, are set out in this Section.

What Questyz is responsible for. Questyz is responsible for: (a) operating and making available the platform substantially as described in these Terms; (b) processing payment authorizations and captures through Stripe and disbursing approved hero payments through PayPal in accordance with Section 5; (c) routing identity-verification requests to the third-party verification provider for transactions that require verification under Section 4; and (d) operating the dispute-resolution process described in Section 10 in good faith and in its commercially reasonable judgment.

What Questyz is not responsible for. To the maximum extent permitted by law, Questyz is not liable for, and disclaims responsibility for: any injury, illness, property damage, or loss arising from quest completion (including in-person quests); the acts, omissions, or conduct of any User; the accuracy or completeness of any quest description posted by a Patron; the quality, completeness, or outcome of any work performed by a Hero; the suitability of any Hero or Patron for any particular quest; or any agreement, dispute, or transaction between Users that does not require Questyz's direct platform participation. Questyz is not a party to any agreement between Patrons and Heroes for the underlying quest.

Limitation on Questyz's liability. To the maximum extent permitted by law, Questyz's total cumulative liability to any User arising out of or relating to these Terms or the platform, regardless of the cause of action, is limited to the greater of: (a) the total fees paid by that User to Questyz in the three (3) months immediately preceding the event giving rise to the claim; or (b) one hundred United States dollars ($100.00). In no event will Questyz be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, or loss of data, even if advised of the possibility of such damages.

Mutual limitation. To the maximum extent permitted by law, no User will be liable to Questyz for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from that User's ordinary use of the platform, and no User's total cumulative liability to Questyz arising from ordinary use of the platform will exceed five thousand United States dollars ($5,000.00). This mutual limitation does not apply to: (i) a User's intentional misconduct or fraud; (ii) a User's violation of Section 9 (Prohibited Content) or Section 12 (Indemnification); or (iii) a User's payment obligations to Questyz for fees properly assessed under these Terms.

11A. DISCLAIMER OF WARRANTIES

The platform and all services provided through it are made available on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, Questyz disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing, course of performance, or trade usage. Questyz does not warrant that the platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components, that any defect will be corrected, or that any specific outcome will result from use of the platform. Some jurisdictions do not allow the exclusion of certain implied warranties, in which case those exclusions do not apply to the extent prohibited by law.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Questyz and its officers, directors, employees, contractors, and agents from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms or any policy incorporated by reference; (b) content you post on the platform, including quest descriptions, completion reports, reviews, guild content, and other user-generated content; (c) your conduct during a quest, including any in-person interaction with another User; (d) your fraud, intentional misconduct, or misrepresentation; or (e) your violation of any applicable law or any right of any third party.

This indemnification does not extend to claims to the extent caused by Questyz's own negligence, intentional misconduct, or breach of these Terms. Questyz will give you prompt written notice of any claim subject to this Section, will permit you to control the defense and settlement of the claim (provided that no settlement that imposes obligations on Questyz or admits Questyz's liability may be entered without Questyz's prior written consent), and will reasonably cooperate in the defense at your expense.

INTELLECTUAL PROPERTY

Quest descriptions, reviews, guild content, and other content you post on the platform remain yours. You grant Questyz a non-exclusive, royalty-free, worldwide, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works of, and distribute the content you post for purposes of operating, improving, marketing, and promoting the platform, including in platform-generated highlights, recommendations, search results, advertising, and marketing materials, in any media now known or later developed. The license survives termination of your account solely to the extent necessary for Questyz to maintain backups, legal records, and platform integrity, and to use content posted before termination as described in this Section. You represent and warrant that you own or have all necessary rights to grant this license for content you post. You may not scrape, copy, reverse engineer, or redistribute platform content other than your own.

DMCA notice and takedown. Questyz complies with the Digital Millennium Copyright Act. To report content on the platform that you believe infringes your copyright, send a written notice to Questyz's designated DMCA agent: (a) a physical or electronic signature of a person authorized to act on behalf of the owner of the allegedly infringed right; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to permit Questyz to locate it; (d) information reasonably sufficient to permit Questyz to contact you, including your address, telephone number, and email address; (e) a statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the owner of the right allegedly infringed.

Designated DMCA agent. Questyz's designated agent for receipt of DMCA notices is registered with the U.S. Copyright Office (DMCA Designation No. DMCA-1072963). Contact: DMCA Agent, Questyz LLC, 1075 Garrisonville Road STR 108 PMB 1015, Stafford, Virginia 22556, dmca@questyz.com.

Counter-notice. If your content has been removed or disabled in response to a DMCA notice and you believe the removal was the result of mistake or misidentification, you may submit a counter-notice containing the elements required by 17 U.S.C. § 512(g)(3).

Repeat-infringer policy. Questyz will terminate the accounts of users who are determined to be repeat infringers in appropriate circumstances.

TERMINATION

Questyz may terminate or suspend an account at any time for violations of these Terms. For non-urgent violations (meaning any violation that does not involve fraud, illegal activity, a safety threat, or material harm to another user), Questyz will provide written notice to the user describing the violation and a period of at least seven (7) days to cure the violation before terminating. For violations involving fraud, illegal activity, safety threats, or material harm to another user, Questyz may terminate or suspend the account immediately without prior notice.

Users may delete their accounts at any time through the account settings page. On termination or deletion of an account, whether initiated by the user or by Questyz: (a) any pending quest payment authorizations will be released through Stripe's standard authorization-cancellation flow and the patron will not be charged; (b) any earned but unspent Boost Passes are forfeited without compensation; (c) any disputes pending at the time of termination will be resolved through the dispute process described in Section 10 based on the information on file at the time of termination; and (d) sections of these Terms that by their nature should survive termination (including Sections 11, 12, 13, 16, and any indemnification, liability, intellectual property, dispute resolution, and governing law provisions) will survive.

CHANGES

Questyz may update these Terms from time to time. For any material change, Questyz will provide registered users with email notice at the address associated with their account at least thirty (30) days before the change takes effect. "Material change" means any modification to: payment terms, platform fees, the arbitration provision, the class action waiver, the liability limitation, the dispute resolution process, or the categories of personal information Questyz collects or shares. For non-material changes, Questyz will post the updated Terms on the platform with the revised "Last Updated" date, and continued use of the platform after the revised date constitutes acceptance of the non-material changes. A user who does not accept a material change may close their account within the 30-day notice period without penalty, and any pending transactions at the time of closure will be resolved as described in Section 14.

GOVERNING LAW

(a) Governing law. These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict of laws principles.

(b) Informal resolution. Before initiating arbitration or any other legal proceeding (other than a small-claims action permitted under paragraph (d)), the party raising the dispute must first send written notice to the other party describing the dispute in reasonable detail and the relief sought. Notice to Questyz must be sent to legal@questyz.com. The parties will attempt in good faith to resolve the dispute informally for a period of thirty (30) days following delivery of the notice. Arbitration or other formal proceedings may not be initiated until the 30-day informal resolution period has expired.

(c) Binding arbitration. Except as provided in paragraphs (d) and (e), any dispute, claim, or controversy arising out of or relating to these Terms or your use of the platform that is not resolved through informal resolution will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration will be conducted by a single arbitrator selected in accordance with the AAA Consumer Arbitration Rules. The arbitration will take place in Virginia, or, at the user's election, in the federal judicial district in which the user resides, or by remote means. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction. For any claim by a user seeking damages of $10,000 or less, Questyz will pay all AAA filing fees, administrative fees, and arbitrator fees, and will not seek to recover those fees from the user regardless of the outcome.

(d) Small claims carve-out. Either party may bring an individual claim in a small-claims court of competent jurisdiction in lieu of arbitration, provided the claim qualifies under that court's monetary limits and the party seeks only individual relief (not class, collective, or representative relief).

(e) Arbitration opt-out. A user may opt out of the arbitration provision in paragraph (c) and the class action waiver in paragraph (f) by sending written notice of the opt-out to legal@questyz.com within thirty (30) days after first accepting these Terms. The notice must include the user's full name, the email address associated with the account, and a clear statement that the user is opting out of arbitration. Users who timely opt out retain the right to bring claims in a court of competent jurisdiction, subject to the governing-law and informal-resolution requirements above. Opting out of arbitration does not affect any other provision of these Terms.

(f) Class action waiver. Each party waives any right to bring or participate in any claim against the other as a class action, collective action, consolidated action, or in any representative capacity, whether in court, in arbitration, or in any other forum. Each party may bring claims only on an individual basis. If a court or arbitrator determines that this class action waiver is unenforceable as to any claim, that claim must be brought in court (not in arbitration), and the remaining claims will proceed in arbitration on an individual basis.

18. SEVERABILITY

If any provision of these Terms is found unenforceable by a court or arbitrator of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or, if modification is not possible, severed from these Terms, and the remaining provisions will continue in full force and effect. If the arbitration provision in Section 16(c) or the class action waiver in Section 16(f) is found unenforceable in whole or in part with respect to any claim, that claim must be brought in a court of competent jurisdiction in Virginia on an individual basis only, and the remaining claims will proceed under Section 16 as drafted.

19. FORCE MAJEURE

Questyz is not liable for any failure or delay in performance of its obligations under these Terms to the extent the failure or delay results from events outside Questyz's reasonable control, including natural disasters, war, terrorism, civil disturbance, government actions or orders, public health emergencies, labor disputes, internet or telecommunications service interruptions, payment processor or hosting provider outages, or denial-of-service attacks. Force majeure does not excuse any obligation to make payments already due, and does not apply to any failure or delay caused by Questyz's own negligence or intentional misconduct. Questyz will use commercially reasonable efforts to resume performance as soon as practicable.

20. ENTIRE AGREEMENT

These Terms, together with the Questyz Privacy Policy, the Policies & How It Works document, the World Boss Sweepstakes Official Rules (where applicable), the In-Person Quest Safety Waiver (where applicable), and any other policies expressly incorporated by reference, constitute the entire agreement between you and Questyz with respect to the platform and supersede all prior or contemporaneous agreements, representations, statements, or understandings, whether written or oral. Marketing materials, platform documentation that is not expressly incorporated by reference, and pre-signup communications do not constitute contractual commitments.

21. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms, by operation of law or otherwise, without Questyz's prior written consent, and any attempted assignment in violation of this Section is void. Questyz may assign its rights and obligations under these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, sale of all or substantially all of its assets, or similar transaction, on no less than thirty (30) days written notice to users. Subject to the foregoing, these Terms will bind and benefit the parties and their respective successors and permitted assigns.
